Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of aimaticx.com (the "Site") and the services offered by AiMaticX ("AiMaticX", "we", "us" or "our"). By creating an account, purchasing subscriptions or digital products, or accessing any content on the Site, you agree to these Terms. If you do not agree, do not use our services.

2. Eligibility and Accounts

• Age Requirement: You must be at least 18 years old to purchase subscriptions or digital products.
• Account Creation: You agree to provide accurate information when creating an account and to keep your login credentials secure. You are responsible for all activity under your account.
• Prohibited Users: You may not use the Site if you have been previously banned or if you reside in a country under sanctions that prohibit your use of U.S. or Canadian services.

3. Subscriptions and Digital Products

• Subscription Tiers: We offer multiple subscription plans with different levels of access. Details of each plan and the associated pricing are described on the Site.
• Access: Subscriptions grant access to our courses, news summaries, AI tools and premium content for the duration of the paid period.
• Non‑Refundable: All digital subscriptions and purchases are final. Once digital content is delivered or your account is used to access members‑only areas, you are not entitled to a refund, but you may cancel your subscription at any time through your account dashboard. If you cancel, your access will continue until the end of your current billing cycle.
• Cancellation: You may cancel your subscription by following the instructions in your account settings. We will not charge further fees after the end of the paid term.
• No Chargebacks: As digital goods are delivered instantly, initiating chargebacks with your bank or payment provider constitutes a breach of these Terms. We reserve the right to dispute any chargeback and terminate your account.
• Free Trials and Discounts: Any free trial or promotional offer is subject to these Terms. Trials automatically convert to paid subscriptions unless you cancel before the trial ends.

4. Use of Digital Content

• Personal License: All courses, videos, e‑books, AI tool summaries, scripts and other materials are owned by or licensed to AiMaticX. We grant you a non‑transferable, non‑exclusive, revocable licence to use the content for your personal, non‑commercial purposes.
• No Redistribution: You may not copy, share, distribute, publicly display, sell or transmit any content without our express written permission.
• Screen Recording and Downloads: Screen recording, video capture, downloading or replicating our course videos or member‑only content is strictly prohibited. Doing so may result in immediate termination of your access and possible legal action.
• AI Output: Content generated by our AI tools or automated agents is for informational purposes only. We do not guarantee its accuracy or suitability for any specific purpose, and you assume responsibility for how you use it.

5. User Content

If you post comments, feedback or other material ("User Content"), you grant us a worldwide, perpetual, royalty‑free licence to use, reproduce and display that content for the operation and promotion of the Site. You represent that your User Content does not infringe any third‑party rights. We reserve the right to remove any User Content that violates these Terms or applicable law.

6. Prohibited Conduct

You agree not to:

• Violate any law or regulation;
• Attempt to gain unauthorized access to other accounts, the servers or networks connected to the Site;
• Use bots, scrapers or other automated tools to access or interfere with our services;
• Reverse engineer, decompile or disassemble any aspect of our services;
• Use the Site to distribute spam or malware;
• Engage in abusive, harassing, defamatory or fraudulent behaviour;
• Reproduce or distribute our content without authorization.

7. Payment and Taxes

Payments are processed via Stripe. You agree to pay all fees and applicable taxes and authorize Stripe to charge your designated payment method. Prices are listed in CAD/USD as indicated. If your payment fails, we may suspend or terminate your access.

8. Third‑Party Links and Services

The Site may contain links to third‑party websites or tools (e.g., AI tools, affiliate links). We are not responsible for the content or practices of those third parties. Use them at your own risk.

9. Disclaimer of Warranties

The services and content are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, secure or error‑free, that content is accurate or complete, or that any AI‑generated outputs are correct. Use the information and AI outputs at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, AiMaticX, its affiliates and suppliers will not be liable for indirect, incidental, consequential or special damages, or any loss of profits or revenue, arising from your use of the Site, even if advised of the possibility. Our total liability will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to defend, indemnify and hold AiMaticX, its affiliates and service providers harmless from any claims, losses or damages arising from your violation of these Terms or misuse of the Site.

12. Termination

We may suspend or terminate your access without notice if you violate these Terms or misuse the services. You may terminate your account at any time. Upon termination, provisions that by their nature should survive (e.g., licences, indemnities, limitation of liability) will remain in effect.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario (if you are in Canada) and the State of New York (if you are in the United States), without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in those jurisdictions. You agree to resolve disputes with us through negotiation or mediation before initiating legal action.

14. Changes to the Terms

We may modify these Terms at any time. Material changes will be posted on the Site or sent via email. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
